Friends of the Arapahoe Library Board of Directors: Amended Standing Rules 2016

Name – This organization is the volunteer support organization of the Arapahoe Library Friends Foundation, and shall be called the Friends of the Arapahoe Library (“The Friends”).

Purposes – The purpose of the Friends of the Library is to:

(a) promote the community involvement in and with the activities of the Arapahoe Libraries,
(b) raise funds to contribute to the resources and services of the Arapahoe Libraries,
(c) support initiatives aimed at extending and/or improving the Arapahoe Libraries.

Relationship to the Arapahoe Library Friends Foundation – The Friends are the volunteer support organization of the Arapahoe Library Friends Foundation. As such, the Friends shall not take any action which would jeopardize or be inconsistent with the 501(c) (3) status of the Arapahoe Library Friends Foundation.

Membership

A. Composition
Any individual, family, firm or corporation interested in the purpose of the Friends may become a member upon payment of the appropriate membership contribution. Membership shall be available without regard to race, color, creed, gender, age, marital status, or national origin.

B. Types and Fees
The Friends Board of Directors will determine types of memberships and fees.

C. Participation
Only members in good standing are eligible to participate in the Friends business meeting or to serve in any of its elective or appointive positions. Each membership (an individual, couple, and a family) is entitled to one vote.

Board of Directors

A. Purpose
The Friends Board of Directors shall manage the affairs of the Friends between meetings of the general membership

B. Composition
The Board of Directors shall consist of the officers and either four or five members-at-large so that the members-at-large result in an odd number of voting board members.

C. Terms of Office, Vacancies, Removal

1. All elected members of the Board of Directors of the Friends serve a two-year term except for the immediate Past President who shall remain on the Board for one year. Terms shall be staggered with the President, Secretary and two or three of the members-at-large elected in even years; Vice-President and the remaining members-at-large elected in odd numbered years. The terms of office shall commence at the conclusion of the annual business meeting of the Friends.

2. Vacancies between elections shall be filled by appointment by the remaining members of the Friends Board of Directors.

3. Any elected official, regardless of the manner of election or appointment, may be removed by the Friends Board of Directors upon two-thirds (2/3) affirmative vote whenever in its judgment the best interests of the organization would be served thereby, provided the elected official upon request was offered an opportunity to have an unprejudiced hearing at which the elected official was permitted to defend against the termination.

4. Term Limits – Elected officers shall hold office for a two-year term, with the option of renewing one term when the first is finished. No officer shall be eligible for election to the same office for more than two consecutive full terms, with the exception of the Book Sale Chair. Elected members of the Board shall serve no more than six consecutive years, with the exception of the Book Sale Chair.

D. Officers
The officers of the Friends are President, immediate Past President, Vice-President, Secretary, and Book Sale Committee Chair. The Book Sale Committee Chair shall be approved by the Friends Board of Directors, and shall have voting privileges on the Friends Board. The officers shall exercise and perform the powers, duties and functions stated below.

President: Serves as the official representative of the organization; shall represent, as a voting member, the Friends in the capacity of the Executive Vice-Chair of the Arapahoe Library Friends Foundation; presides at all meeting of the Friends Board of Directors, the annual general membership meeting, and appoints the chairs of the standing committees with approval of the Friends Board of Directors.

Immediate Past President: Advises the newly elected president and provides continuity of leadership.

Vice-President: Assists the president and assumes the duties of the president in his/her absence or upon request; attends, as a representative of the Friends, the monthly meetings of the Arapahoe Library District Board of Trustees.

Secretary: Keeps records of all regular and special Friends Board of Directors meetings and annual general membership meeting, and is responsible for the general correspondence of the organization, as requested by the President.

Book Sale Committee Chair: Manages all book sales and reports status to the Friends Board of Directors.

Non-Voting Attendees (Visitors): All visitors are invited and encouraged to participate in the regular meeting of the Friends Board, but only the elected Board members may vote.

Meetings

A. General Membership
The Friends general membership shall meet annually each April at a time and place to be determined by the Friends Board of Directors. In order to elect officers and members-at-large and transacting such other business as may come before the meeting.

B. Board of Directors
The Friends Board of Directors will meet bi-monthly, at a time and place within the District as designated by the President. A meeting may be canceled or postponed by approval of a majority of the Board. A quorum at a meeting of the Friends Board of Directors shall be a majority of the Board of Directors.

C. Electronic Meetings
The Board and its committees may conduct business via electronic media (including, but not limited to telephone, email, fax), provided all Board members participate.
